Sustainability Governance Structure
The Company has established a Sustainability Governance Structure to drive the organization toward sustainable growth. The structure comprises the following governing bodies:
Corporate Governance and Sustainability Development Committee
Consisting of three members of the Board of Directors, the Committee is responsible for formulating sustainability policies and overseeing the Company’s sustainability-related strategies, initiatives, and performance.
Risk Management Committee
Consisting of three members of the Board of Directors, the Committee is responsible for overseeing the Company’s risk management framework and ensuring effective enterprise risk management practices across the organization.
The two committees jointly oversee and drive the Company’s sustainability agenda. Their efforts are supported by the Sustainability Working Team, comprising representatives from various functions across the organization, who are responsible for advancing sustainability initiatives and integrating sustainable practices into business operations.
The Sustainability Working Team plays a key role in promoting corporate governance, risk management, social responsibility, and personal data protection initiatives. Through cross-functional collaboration, the team supports the effective implementation of sustainability strategies and contributes to the Company’s long-term sustainable growth and value creation.
Roles and Responsibilities
Board of Directors
- Recognize and uphold the Board of Directors’ role and responsibilities as the leadership body responsible for creating sustainable value for the Company.
- Establish the Company’s vision, objectives, and strategic goals with a focus on sustainable growth and long-term value creation.
- Strengthen the effectiveness and performance of the Board of Directors.
- Oversee the succession planning, development of senior executives, and human capital management.
- Promote innovation and responsible business practices throughout the organization.
- Ensure that appropriate risk management and internal control systems are in place and operating effectively.
- Safeguard financial integrity and ensure transparent, accurate, and timely disclosure of information.
- Encourage shareholder engagement and maintain effective communication with shareholders.
Corporate Governance and Sustainability Development Committee
- Formulate, review, and update the Company’s sustainability policy.
- Formulate, review, and update the Company’s corporate governance policy.
- Establish, review, and refine the Company’s sustainability strategy, and provide recommendations to the Board of Directors on sustainability-related matters.
- Define guidelines for compliance with corporate governance principles and the Company’s anti-corruption policy.
- Promote and drive collaboration to advance the Company’s sustainability development efforts.
- Monitor, supervise, and evaluate the implementation and performance of sustainability-related initiatives.
- Regularly report the Committee’s performance and progress to the Board of Directors.
- Review and revise the Committee Charter as appropriate.
- Perform any other duties as assigned by the Board of Directors.
Sustainability Working Team
The Sustainability Working Team is responsible for supporting the implementation of the Corporate Governance and Sustainability Development Committee’s duties. Its roles and responsibilities include:
- Developing action plans and implementation guidelines in alignment with the Company’s sustainability policy and presenting them to the Corporate Governance and Sustainability Development Committee for consideration.
- Implementing sustainability plans and initiatives across the organization.
- Promoting and driving sustainability collaboration at all levels of the organization.
- Monitoring the Company’s compliance with sustainability plans and implementation guidelines.
- Evaluating and summarizing the outcomes and effectiveness of sustainability-related activities.
- Reporting sustainability performance and progress to the Corporate Governance and Sustainability Development Committee.
- Reviewing sustainability policies, action plans, and implementation guidelines to ensure their effectiveness and continuous improvement.
- Organizing Sustainability Working Team meetings as appropriate.
- Receiving and incorporating recommendations from the Corporate Governance and Sustainability Development Committee.
- Performing any other duties as assigned by the Corporate Governance and Sustainability Development Committee.
Risk Management Committee
- Establish policies, objectives, plans, risk assessment processes, and a clear risk management framework for the Company.
- Promote and drive collaboration in risk management at all levels across the organization.
- Monitor, supervise, and evaluate risk management practices to ensure that risks are managed appropriately and effectively.
- Continuously enhance the Company’s enterprise risk management system to improve its effectiveness and resilience.
- Regularly report the Committee’s performance and risk management outcomes to the Board of Directors.
- Review and revise the Risk Management Committee Charter, as appropriate.
- Perform any other duties as assigned by the Board of Directors.
